These Terms of Service ("Terms") form a binding agreement between you and Spell Solutions LLC ("Spell Solutions", "we", "us") and govern your access to and use of Spell Ledger Pro (the "Service"). By creating an account or using the Service, you agree to these Terms.
1. Accounts
You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
2. Subscriptions and billing
Paid plans are billed in advance on a monthly or annual basis and are non-refundable except where required by law. You authorize us to charge your payment method for each renewal until you cancel. We may change pricing on prior notice; changes take effect at your next renewal.
3. Acceptable use
You agree not to misuse the Service. You will not (a) reverse engineer or attempt to extract source code, (b) interfere with or disrupt the Service, (c) use the Service to violate any law or the rights of others, (d) upload malware, or (e) attempt to gain unauthorized access to any account or system.
4. Your data
You retain ownership of data you upload to the Service ("Your Data"). You grant us a limited license to host, process, and display Your Data solely to provide the Service. We process Your Data in line with our Privacy Policy.
5. Intellectual property
The Service, including all software, designs, and trademarks, is owned by Spell Solutions or its licensors and is protected by applicable laws. We grant you a non-exclusive, non-transferable right to use the Service in line with these Terms.
6. Confidentiality
Each party will protect the other's non-public information with the same care it uses for its own confidential information, and at minimum a reasonable standard of care.
7. Termination
You may cancel your subscription at any time from your account settings. We may suspend or terminate your access if you breach these Terms or if required by law. On termination, your access ends and we may delete Your Data after a reasonable retention window.
8. Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not provide tax, legal, or financial advice.
9. Limitation of liability
To the maximum extent permitted by law, Spell Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability for any claim arising out of or relating to the Service is limited to the amounts you paid us in the twelve months preceding the claim.
10. Indemnity
You agree to indemnify and hold harmless Spell Solutions from any claim arising out of your use of the Service, Your Data, or your breach of these Terms.
11. Governing law
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict of laws rules. The exclusive venue for any dispute is the state and federal courts located in Harris County, Texas.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use of the Service after the effective date constitutes acceptance.
